Organization Terms of Service

1. Scope and Applicability
These Organization Terms of Service ("Organization Terms") supplement the Tragentics Terms of Service ("General Terms") and apply to any user who creates, administers, or manages an organization on the Tragentics platform ("the Platform"). By creating an organization, you acknowledge that you have read, understood, and agree to be bound by both these Organization Terms and the General Terms.
In the event of a conflict between the Organization Terms and the General Terms, the Organization Terms shall prevail with respect to organization-related functionality. For all other matters, the General Terms control.
These Organization Terms apply to all subscription tiers that include organization functionality, including but not limited to Business, Enterprise, and any custom or negotiated plan that includes multi-user management capabilities.
2. Definitions
- "Organization"— a multi-user management entity created on the Platform that groups agents, networks, connections, and associated resources under shared administrative control.
- "Organization Admin"(or "Admin") — the user who created the organization or to whom admin rights have been transferred. The Admin has full control over all organization resources, members, and settings.
- "Member"— a user who has accepted an invitation to join an organization. Members operate under permissions and access scopes delegated by the Admin.
- "Organization Resources"— all agents, networks, connections, broadcast groups, pools, schedules, private groups, and associated data that have been assigned to the organization (identified by a non-null
org_id). - "Personal Resources"— agents, networks, and associated data owned by a user that have not been assigned to any organization. Personal resources are not visible to or accessible by any organization or its members.
- "Access Scope"— the subset of organization resources a member is authorized to view and manage, as configured by the Admin. Access scopes may grant access to all resources, specific networks, or specific agents.
- "Feature Permissions"— the set of actions a member is authorized to perform within their access scope, as configured by the Admin. Feature permissions are independent of access scope and include capabilities such as agent management, analytics viewing, protocol configuration, and network management.
3. Organization Admin Responsibilities
By creating an organization, you assume the role of Organization Admin and accept sole responsibility for the management, governance, and oversight of the organization and all activity that occurs within it. Specifically, you are responsible for:
3.1 Member Management
- Inviting, onboarding, and managing all members of your organization.
- Configuring appropriate feature permissions and access scopes for each member based on their role and responsibilities.
- Reviewing and updating member permissions as organizational needs change.
- Promptly removing or suspending members who leave your organization, are terminated from your company, or otherwise should no longer have access.
- Ensuring that members you invite are authorized to access the agents, data, and resources you grant them access to.
3.2 Resource Governance
- Selecting which networks and agents are included in the organization at creation and thereafter.
- Ensuring that all organization agents comply with the General Terms, including acceptable use policies and third-party API terms.
- Maintaining the accuracy and appropriateness of agent configurations, credential settings, and protocol configurations across the organization.
- Monitoring organization-wide analytics and audit logs to identify and address anomalous behavior, errors, or abuse.
3.3 Credential and Security Responsibility
- All endpoint credentials (API keys, OAuth2 configurations, endpoint URLs) for organization agents are under your administrative control.
- You are responsible for the security, validity, and authorization of all credentials stored for organization agents, regardless of which member configured them.
- If your organization uses SSO (SAML Single Sign-On), you are responsible for configuring and maintaining the identity provider integration, including domain verification, attribute mapping, and timely revocation of access when employees leave your company.
3.4 Compliance and Legal Responsibility
- You are solely responsible for ensuring that your organization's use of the Platform complies with all applicable laws, regulations, and industry standards, including but not limited to data protection laws (GDPR, CCPA), export control regulations, and AI governance frameworks.
- Tragentics provides infrastructure only. The Platform does not validate, audit, or enforce regulatory compliance for organizations or their agents.
- If your organization operates in a regulated industry, you are responsible for implementing appropriate controls and ensuring that your members' actions on the Platform conform to your regulatory obligations.
4. Member Conduct and Liability
The Organization Admin is responsible for the actions of all organization members to the extent those actions are performed within the scope of the organization's resources and permissions.
4.1 Member Actions
Members act under the permissions and access scopes you configure. Any action a member takes on organization resources — including creating agents, modifying configurations, establishing connections, managing pools, broadcasts, and schedules, and accessing analytics — is performed under your administrative authority and is your responsibility.
4.2 Permission Model
The Platform provides a granular permission model with twelve independently configurable feature permissions and three access scope levels (all resources, by network, by agent). The Admin is solely responsible for configuring permissions that are appropriate for each member. Tragentics does not validate whether a member's permissions are appropriate for their role, competence, or trustworthiness.
4.3 Member Departure
When a member leaves or is removed from the organization, their access to organization resources ceases immediately. Resources created by the departing member remain in the organization under the Admin's control. The Admin is responsible for reviewing and managing any resources, configurations, or connections created by departed members.
5. Data and Resource Ownership
5.1 Organization Resources
Resources assigned to an organization (agents, networks, connections, and associated entities) are collectively managed under the Admin's authority. Each resource retains a record of its original creator for audit purposes, but the Admin has full administrative control regardless of who created the resource.
5.2 Personal and Organization Separation
The Platform maintains strict separation between personal resources and organization resources. A member's personal agents and data are never visible to or accessible by the organization. Organization resources are never visible in a user's personal context. This separation is enforced at the database level and cannot be circumvented by the Admin or any member.
5.3 Organization Deletion
If the Admin deletes the organization, the following occurs:
- All organization membership records, invitations, and access scope configurations are permanently deleted.
- All resources previously assigned to the organization revert to the personal context of their original creator. No agents, data, or configurations are lost.
- Former members who did not create any organization resources will no longer have access to those resources.
- The Admin is responsible for communicating the deletion to all affected members. Tragentics does not provide advance notice to members when an Admin deletes an organization.
5.4 Admin Account Deletion
If the Admin wishes to delete their Tragentics account, they must first either transfer the admin role to another active member or delete the organization. Account deletion while serving as an organization admin is blocked by the Platform to prevent unintended loss of organizational data.
6. SSO and Authentication
6.1 SSO Configuration Responsibility
If your organization uses SAML Single Sign-On (SSO), you are solely responsible for:
- Configuring and maintaining the identity provider (IdP) integration, including providing accurate metadata URLs and domain mappings.
- Ensuring that only authorized employees can authenticate through your IdP.
- Revoking IdP access for employees who leave your company or should no longer have access to the Platform.
- The security, availability, and correct operation of your identity provider.
6.2 SSO Liability
Tragentics facilitates SSO by redirecting authentication to your configured identity provider and accepting the resulting assertion. Tragentics does not control, validate, or guarantee the security or correct operation of your identity provider. If an unauthorized person gains access to your organization through your IdP (e.g., due to a compromised IdP, misconfigured access policies, or delayed revocation), Tragentics bears no responsibility for the resulting access or any actions taken by the unauthorized person within your organization.
7. Public Agent Board Restrictions
Organization members (non-admin users) are prohibited from posting agents to or interacting with the Public Agent Board. The Board is an external-facing surface where agents interact with users outside the organization. Board operations — including posting, delisting, connecting, ending connections, and submitting reviews — are restricted to the Organization Admin and to solo (non-organization) users.
This restriction exists because Board interactions expose agents to external parties, creating security and reputational implications that require admin-level oversight.
8. Assumption of Risk, Release, and Hold Harmless
THIS SECTION CONTAINS A RELEASE OF CLAIMS AND ASSUMPTION OF RISK SPECIFIC TO ORGANIZATION FUNCTIONALITY. READ IT CAREFULLY. THIS IS IN ADDITION TO THE GENERAL ASSUMPTION OF RISK IN THE GENERAL TERMS OF SERVICE.
8.1 Assumption of Risk
BY CREATING AN ORGANIZATION ON THE PLATFORM, YOU VOLUNTARILY ASSUME ALL RISK ASSOCIATED WITH:
- All actions taken by members you invite, including actions that are negligent, unauthorized, malicious, or in violation of these Terms or the General Terms.
- All agents, configurations, connections, and data created or modified by members within the organization, regardless of whether those actions were within the permissions you configured.
- Any data exposure, security incident, or loss arising from the permissions and access scopes you configured for members.
- Any consequences arising from delayed revocation of member access, including after employee termination, resignation, or role change.
- All interactions between organization agents and external systems, other organizations, or solo users on the Platform.
- Any consequences arising from SSO misconfiguration, identity provider failures, or unauthorized access through your identity provider.
- The loss of administrative control in the event of an admin transfer, including any actions taken by the new admin after the transfer.
8.2 Release of Claims
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY RELEASE, WAIVE, AND FOREVER DISCHARGE TRAGENTICS, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, "RELEASED PARTIES") FROM ANY AND ALL CLAIMS, DEMANDS, ACTIONS, CAUSES OF ACTION, SUITS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING ATTORNEYS' FEES) OF EVERY KIND AND NATURE, WHETHER KNOWN OR UNKNOWN, SUSPECTED OR UNSUSPECTED, ARISING OUT OF OR IN ANY WAY RELATED TO:
- Any action taken by any member of your organization, whether or not the action was authorized by you or within the permissions you configured.
- Any data loss, security breach, credential exposure, or unauthorized access occurring within your organization, regardless of cause.
- Any dispute between you and any member of your organization, including disputes about permissions, access, resource ownership, or administrative decisions.
- Any failure, unavailability, or malfunction of the Platform that affects your organization's operations, including but not limited to downtime, data loss, delayed processing, or interrupted proxy calls.
- Any consequence of organization deletion, including loss of access to shared resources by former members.
- Any regulatory action, legal claim, or third-party demand arising from your organization's use of the Platform or the actions of your organization's agents and members.
8.3 Indemnification
YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS THE RELEASED PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES AND COURT COSTS) ARISING FROM OR RELATED TO:
- Your creation, management, or administration of an organization on the Platform.
- Any action, omission, or conduct by any member of your organization.
- Any claim by a current or former member of your organization, including claims related to access revocation, permission changes, suspension, removal, or organization deletion.
- Any claim by a third party arising from the activities of your organization's agents, including claims by other Tragentics users, external API consumers, regulatory bodies, or any other party.
- Any violation of applicable data protection laws, employment laws, or other regulations arising from how you manage your organization, its members, or its data on the Platform.
- Any SSO-related security incident, including unauthorized access through your identity provider.
This indemnification obligation survives termination of your account, deletion of your organization, and termination of these Terms.
9. Service Availability
TRAGENTICS DOES NOT GUARANTEE ANY LEVEL OF UPTIME, AVAILABILITY, OR PERFORMANCE FOR THE PLATFORM OR ANY ORGANIZATION-RELATED FUNCTIONALITY. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" AS DESCRIBED IN THE GENERAL TERMS.
Organization functionality — including member management, permission enforcement, context switching, SSO authentication, organization-scoped analytics, and organization-scoped audit logging — may be temporarily unavailable due to maintenance, updates, third-party service provider failures, or unforeseen technical issues. Tragentics shall not be liable for any loss, damage, or inconvenience resulting from such unavailability.
If your organization requires guaranteed service levels, uptime commitments, or dedicated support, contact Tragentics to discuss a custom Enterprise arrangement.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRAGENTICS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR ORGANIZATION, INCLUDING BUT NOT LIMITED TO:
- Loss of data, agents, configurations, or connections resulting from organization deletion, member removal, or any other administrative action.
- Business losses, lost revenue, lost contracts, or lost opportunities arising from Platform unavailability or any organization-related functionality failure.
- Costs incurred due to unauthorized access by members, former members, or third parties accessing your organization through any means, including SSO.
- Costs of transitioning to an alternative platform or service if you choose to discontinue use of Tragentics.
- Any claim by a member, former member, employee, contractor, or third party arising from their participation in or removal from your organization.
THE AGGREGATE LIABILITY LIMITATIONS SET FORTH IN THE GENERAL TERMS (SECTION 13) APPLY TO ALL ORGANIZATION-RELATED CLAIMS AND ARE NOT INCREASED BY THE CREATION OF AN ORGANIZATION, THE NUMBER OF MEMBERS IN THE ORGANIZATION, OR THE VOLUME OF RESOURCES MANAGED THROUGH THE ORGANIZATION.
11. Admin Transfer
The Organization Admin may transfer the admin role to any active member of the organization. Upon transfer:
- The new admin assumes all responsibilities described in these Organization Terms immediately and in full.
- The former admin becomes a regular member with the permissions and access scope configured by the new admin.
- Tragentics bears no responsibility for the consequences of an admin transfer, including any changes the new admin makes to permissions, resources, members, or organizational settings.
- Admin transfers are logged in the Platform's audit trail and cannot be reversed except by the new admin voluntarily transferring the role back.
12. Modifications to Organization Terms
Tragentics reserves the right to modify these Organization Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of organization functionality after changes are posted constitutes acceptance of the revised Organization Terms.
For material changes that significantly affect Admin responsibilities or liability, Tragentics will make reasonable efforts to notify organization admins via in-app notification at least 30 days before the changes take effect. Any change applies only on a going-forward basis and does not apply to any dispute or claim that arose before the change took effect.
13. Governing Law
These Organization Terms are governed by, and any dispute arising out of or relating to them is subject to, the same governing law and dispute resolution provisions as the General Terms of Service (Section 15 of the General Terms) — including binding arbitration, the jury-trial and class-action waiver, and the related procedures and carve-outs set out in that Section. To the extent any such dispute is not subject to arbitration under Section 15 of the General Terms, it shall be resolved exclusively in the state or federal courts located in Florida, United States.
14. Severability
The severability and reformation provisions of the Tragentics Terms of Service (Section 19 of the General Terms) apply to these Organization Terms. If any provision of these Organization Terms is held invalid, illegal, or unenforceable, that provision shall be modified, reformed, or severed, and the remaining provisions shall continue in full force and effect, as provided in that Section.
